We’re growing!! And looking for passionate, driven and energetic candidates to join our team for the position of Corporate Law Clerk located in our Head Office in Guelph, Ontario.

*This position has the option for a hybrid work schedule.*

Job Description

Looking for a chance to make your mark in a fast-paced, professional and fun environment? As a Corporate Law Clerk you will work as an integral part of the legal team focused on assisting with the completion of corporate transactional work and management of corporate documentation and records for the various legal entities within the Skyline Group of Companies while supporting our shared goal of creating meaningful value and an exceptional experience for our customers, our people and our communities.

What you will be doing:

  • Draft constating documents and related legal documents to establish, organize and amend corporate entities with meticulous attention to detail.
  • Manage ongoing maintenance work for corporate and other legal entities within the Skyline Group of Companies, including annual minutes.
  • Prepare required corporate documentation related to transactions for various entities within the Skyline Group of Companies, including share purchases, asset purchases and corporate re-organizations and re-structuring.
  • Update minute books and records and follow-up on outstanding documentation as required.
  • Interpret and explain provisions of articles, minutes and other corporate documents.

What we look for:

  • Broad foundation of legal concepts and applications relevant to the practice of corporate law.
  • Familiarity with and experience in the corporate and administrative procedures involved in:
    • preparing and filing articles of incorporation, amendment, limited partnership declarations, etc.;
    • organizing and maintaining corporations, limited partnerships and trusts; and
    • completing corporate documentation related to share purchase transactions and corporate re-organizations.
  • Must be familiar with the Act(s) governing the formation and operation of corporations and limited partnerships.
  • Minimum two years post-secondary education and two years related experience OR five year’s equivalent workplace experience.
  • Completion of Institute of Law Clerks of Ontario Certification or courses in corporate law an asset.
